Incorporation Procedure:

Please pay careful attention to the following instructions if you plan to incorporate an International Business Company (IBC) or domestic (CAP285) company in the British Virgin Islands through Elan. If you are interested in having Elan provide nominee directors, nominee shareholders, bank account signatories, administrative or clerical services, or grant general power of attorney for the proposed company, please contact us for our advance approval, in addition to the following steps:

  • STEP 1 -- INFORM YOURSELF:
  • We recommend reviewing this site in its entirety, so that you are knowledgeable of the BVI jurisdiction and the powers granted to BVI companies. Your reasons for incorporating in the BVI cannot be determined by Elan, although we can refer you to the appropriate professionals for business planning, legal or tax advice. You should know who your shareholder(s), director(s) and officer(s) are, the overall structure and organization of your company, and you must confirm agreement by all parties involved before you proceed with the incorporation.
  • STEP 2 -- COMPLETE APPLICATION:
  • Complete and submit an Elan IBC or CAP285 domestic company application form. Adequate completion and submission of this form, along with the provision of payment, will enable Elan to incorporate your proposed company within one business day. To expedite the process, we recommend making full use of the Elan Online Incorporation Form, which also has a secure version for maximum confidentiality. Either form may be printed and faxed to Elan at +1 (284) 494.2838. All information submitted is strictly confidential.

  • STEP 3 -- HAVE PAYMENT READY:
  • Unless you are paying by credit card, wiring instructions will be provided separately upon application. The total amount due, including all government fees, must be paid in advance. Elan will not incorporate your IBC and cannot release company documentation (including the Memorandum and Articles of Association, company seal, share certificates, etc...), or take further action on behalf of the company, until it has confirmation of your payment.   • STEP 4 -- OBTAIN REFERENCES AND PROPER IDENTIFICATION:
  • In accordance with the BVI Code of Conduct for Registered Agents, two references and a notarized copy of two forms of government or bank certified or notarised photo identification (e.g. passport and drivers license), and proof of address in the form of a bank or credit card statement or utility bill (e.g. phone, water, electric, etc.) no less than six months old for each of the principal shareholders and directors of the proposed company are required. The original documents should be sent via Federal Express/DHL directly to our BVI office, where they will be held in the strictest of confidence. Unless separate arrangements are made, one of the references should be a bank reference on letterhead, addressed To Whom it May Concern, stating that the shareholder or director has had an account in good standing with the bank for at least two years. The second reference should be from a qualified attorney, tax consultant or accountant, addressed to Elan Corporate Services Ltd., stating:

    To: Elan Corporate Services Limited

    "I/We hereby state that [shareholder name] is a(n) [nationality] citizen who resides in [city and state or province]. I have known and conducted a significant amount of business in [nature of affairs] with [applicant name] for at least two years, and in my experience s/he is a reputable and trustworthy individual. I/We have advised [shareholder name] and s/he had acknowledged that as a [nationality] tax payer who is an owner, director or officer of a foreign company, they may have obligations to file information returns, include income in their tax returns and pay taxes arising out of their interest in or office with such foreign company."

  • STEP 5 -- DOCUMENT DELIVERY:
  • We will express mail your corporate documents to the mailing address you specify in your incorporation order. If everything proceeds as planned, you will have all corporate documents within five business days of your incorporation request. Your possession of these documents finalizes the incorporation process and grants you the right to use the powers of the company as provided for under BVI law. If Elan is serving as Director, we will retain the original documents and company seal, and send you a copy of the memorandum and articles of association. If Elan is to assist in the establishment of a BVI corporate bank account, we will retain the appropriate documents until we have successfully opened the company account at your international bank of choice.
